EULA - End User License Agreement

This Privacy Policy ("Privacy Policy") applies to all of the products, services ("Products and Services") and Internet web site ("Site") offered by CodePorting. ("The Company"). This Privacy Policy is designed to detail certain policies implemented throughout The Company governing our use of Personal Information ("Personal Information" is defined as any information that identifies or can be used to identify the person to whom such information pertains) provided to The Company via this Site, through customers'' voluntary reporting of information around product and/or system errors ("Error Reports") or through customers'' voluntary reporting of the installation of The Company''s software or use of it''s services. We hope that this will assist you in understanding how we collect and use Personal Information related to our services and help you to make informed decisions when using our Products and Services. In this Agreement, references to “we,” “our” and “us” refer to The Company, while “you” and “your” refer to The Company''s Customer or user.

1. DEFINITIONS

1.1. Definitions: For purposes of this Agreement, the following terms shall be defined as follows:

a. "Documentation" means The Company''s standard end user documentation for the Licensed Software and Service, as modified from time to time by The Compnay in its sole discretion.

b. "Website" means http://codeporting.com, any sub domains and related domains.

c. "Licensed Software and Service" means the software(s) made available by The Company under this Agreement, in English, as more specifically set forth at the Website or any successor website thereto.

d. "End User" means a licensee of the Licensed Software and Service who acquires access to the software for normal personal use or business end use and not for resale or distribution.

e. "Intellectual Property Rights" means all present and future copyrights, trademark rights, service mark rights, trade secret rights, patent rights, moral rights, and other intellectual property and proprietary rights recognized in any jurisdiction.

f. "License Year" means the period commencing on the Effective Date and ending on the anniversary thereof for any calendar year that this Agreement is in effect.

g. "Term" means the period commencing on the Effective Date and expiring on the date set forth in Section 9 of this Agreement.

h. "Territory" means worldwide, except to the extent limited by U.S. export laws and the applicable import and export laws of foreign jurisdictions, as described in Section 10.

2. Changes in privacy policy

Please note that the practices of The Company, with respect to data collected and used by The Company in connection with this website and The Company''s Products and Services available or enabled via the Site, are governed by this online Privacy Policy as amended from time to time and not the Privacy Policy in effect at the time the data was collected. We will post our updated Privacy Policy on our Website so you are always aware of what Personal Information we may collect and how we may use this information. We encourage you to review this Privacy Policy regularly for any changes. Your continued use of this Site, Products and Services, and/or continued transmission of Error Reports to The Company will be subject to the then-current Privacy Policy.

3. Information collection and use

As a visitor to this Site, you can engage in many activities without providing any Personal Information. However, in certain sections of this Site, to use certain services, we may require you to register for an account, or we may invite you to submit questions or comments or request information, participate in surveys, questionnaires or contests, download trials or demonstrations, subscribe to newsletters or email alerts or participate in community forums. Due to the nature of some of these activities, we may ask that you complete and submit an online form with Personal Information such as your name, username, mailing address (including ZIP code), country of residence, e-mail address, employer, job title and department, and telephone and facsimile numbers. When ordering Products and Services via the Site, you may be asked to provide a credit card number and billing and shipping information. Depending upon the activity, some of the information that we ask you to provide is identified as mandatory and some as voluntary. If you do not provide the mandatory data with respect to a particular activity, you will not be able to engage in that activity. Similarly, if you wish to delete your information (pursuant to the mechanism set forth in "Updating your Personal Information and privacy preferences") that is mandatory, you will no longer be able to engage in that particular activity.

We may use your Personal Information to deliver certain Products and Services, or information you have requested, verify your authority to enter certain password protected areas of the Site, send you notices for products and/or services that you have used or that may be of interest to you (if you have opted in to receive such notices) and improve the content and general administration of the Site.

Please note that any information you post to a public bulletin board, blog or chat room, and to community help, wikis, and user profiles (the "Community Sites") is available to all persons accessing that location, and your e-mail address and other Personal Information or content you upload may also be posted on these Community Sites. The information you share, including your email address, would then be available to all persons accessing these Community Sites, and such information may be read, collected or used by others for any purpose, including sending you unsolicited messages. We are not responsible for any information you elect to submit in these Community Sites or the use of such information. In addition, you should be aware that some Community Sites offer a service in which subscribers are e-mailed a copy of all messages posted to the Community Sites on a particular topic. Consequently, if you post a message to such Community Sites, your e-mail address will be sent to those subscribers who have indicated an interest in the topic of your message. If you do not wish for your Personal Information to be posted or distributed in this manner, you should not participate in the Community Sites.

If you choose to transmit an Error Report to us, we may collect Personal Information that is included in the information that you elect to include in the Error Report that you provide to us. We will use the Personal Information included in such Error Reports only to troubleshoot problems and errors and to prevent similar errors. Except as stated in this Privacy Policy, we will not further use or nor will we disclose any Personal Information included in these Error Reports. When you install any of our software, you will have the option to notify us of your installation. If you choose to notify us of your installation, we may collect Personal Information that is transmitted with your notification such as your email address, your domain and the version of the software that you have installed. We will use the Personal Information included with such notifications to improve the quality of our software and to manage and provide you with support and for marketing analysis. We may also use this information to send you marketing messages about Products and Services that might be of interest to you.

4. Children''s privacy

We recognize the privacy interests of children and we encourage parents and guardians to take an active role in their children''s online activities and interests. The Site and the Products and Services are intended for adult audiences, and we do not knowingly collect any Personal Information from anyone under 13 years of age.

5. Aggregate information

The Site may track the total number of visitors to our Site, the number of visitors to each page of our Site, IP addresses, External Web Sites (defined below) linked to, and we may analyze this data for trends and statistics in the aggregate, but such information will be maintained, used and disclosed in aggregate form only and it will not contain Personal Information. We may use such aggregate information to analyze trends, administer the Site, track users'' movement, and gather broad demographic information for aggregate use. We may share this aggregate information with third parties to assist them in targeting advertisements to appropriate audiences.

6. Links to third party sites

The Site may provide links to other Web sites or resources over which we have no control ("External Web Sites"). Such links do not constitute an endorsement by The Company of those External Web Sites. You acknowledge that The Company is providing these links to you only as a convenience, and further agree that The Company is not responsible for the content of such External Web Sites. Your use of External Web Sites is subject to the terms of use and privacy policies located on the linked to External Web Sites.

7. Data integrity and security

We process your Personal Information in ways compatible with the purpose for which it was collected or subsequently authorized by you, the individual. To the extent necessary for such purposes, we take reasonable steps to make sure that your Personal Information is accurate, complete, current and otherwise reliable with regard to its intended use.

We may employ procedural and technological measures, consistent with industry practice. Such measures are reasonably designed to help protect your Personal Information from loss, unauthorized access, disclosure, alteration or destruction. We may use encryption, secure socket layer, firewalls, internal restrictions, password protection and other security measures to help prevent unauthorized access to your Personal Information.

8. Use of cookies, web beacons and similar devices

In order to improve our Products and Services and the Site and provide more convenient, relevant experiences to our customers, we and our vendors may use "cookies", "web beacons", and similar devices to track your activities. A cookie is a small amount of text that is transferred to your browser by a web server and can only be read by the server that gave it to you. The Company does not save Personal Information in cookies. Our web pages or e-mail messages may contain a small graphic image called a web beacon, which is sometimes also called a "clear gif", that allows us to monitor and collect certain limited information about our users, such as the type of browser requesting the web beacon, the IP address of the computer that the web beacon is sent to and the time the web beacon was viewed. Web beacons can be very small and invisible to the user, but, in general, any electronic image viewed as part of a web page or e-mail, including HTML based content, can act as a web beacon. The Company may use web beacons to count visitors to our web pages or to monitor how our users navigate our website, and we may include web beacons in e-mail messages in order to count how many messages we sent were actually opened or acted upon. The Company uses web beacons to compile aggregate statistics about our website and our marketing campaigns. The Company does not link the information collected by its web beacons to the Personal Information you provide when registering with the website.

A similar device may be used by which a Products and Services may send data to a server when a set of user-initiated events occur such as the "Add to Cart" or “Buy Now” button is clicked. This device is similar to a cookie in that it tracks your visit and the data can only be read by the server that receives the data. It is different than a cookie in that it is not browser-based, may not function as an identification card, and does not store any data on your computer. We may collect usage statistics of our website as well as Products and Services through embedded Google Analytics code to better understand the customer behavior. If you prefer to opt out of this feature in the application please contact us and we will guide you on the opt-out process.

9. Disclosure

While The Company uses cookies and similar devices to track your use of the Site and the Products and Services (such as the number of downloads, types of Products and Services used and downloaded, how many users we receive daily, the Site pages visited), and web servers automatically log the IP/Internet address of your computer, The Company does not generally use this information to identify you personally. Exceptions to this are noted in this Privacy Policy. If you expressly provide consent for the Site or the Products and Services to "remember" the unique identifier that you select when you register for various activities on the Site or the Products and Services, that unique identifier will be stored on a persistent cookie on your computer and that unique identifier will be linked to your registration information. As a result, your navigation path around the Site and the Products and Services will be tracked in identifiable form.

We may provide your Personal Information that we collect and the data generated by cookies to the vendors and service agencies that we may engage to assist us. For example, we may provide your Personal Information to an organization in order to complete a service (e.g., process your payment) or diagnose an error. Such third party entities will be obligated to a written confidentiality agreement that is at least as protective of your Personal Information as the terms of this Privacy Policy and they will not be permitted to further distribute your Personal Information. We will also disclose your Personal Information if we reasonably believe we are required to do so by law, regulation or other government authority. We will not sell your Personal Information to any other company or organization except we may transfer your Personal Information to a successor entity upon a merger, consolidation or other corporate reorganization in which Banckle participates or to a purchaser of all or substantially all of Banckle''s assets to which this Site relates.

Personal Information that users provide about other individuals for tell-a-friend or other referral features on the Site or within Products and Services is used by us to send an initial communication to the person whose details you have provided, and is not retained in our systems. If you are invited by someone else to participate in usage of our Site, Products or Services, you will typically be required to contact the person who invited you to update, correct or delete the personal information they provided about you. In general, even though we may delete an account you hold with us in these types of shared editing or viewing areas, we may continue to retain information regarding your past actions with respect to content reviews or sharing initiated by others.

10. Updating personal information and privacy preferences

The Company provides you with the ability to review, correct and delete any of the Personal Information that you have provided to us. If you wish to review or correct any information you have provided to us, you may contact us by email at the Privacy Contact address. We may limit or deny access to your Personal Information where providing such access would be unreasonably burdensome or expensive in the circumstances, or as otherwise permitted by applicable laws or regulations.
